These Terms of Service (“Terms”) govern your access to and use of Stride (the “Service”), a software-as-a-service product owned and operated by Rising-Sun Software Solutions Inc. (“RSS”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Service.

1. Acceptance of Terms
By registering for, accessing, or using the Service, you confirm that you have read, understood, and agree to these Terms. If you are using the Service on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

2. Description of the Service
Stride provides a workflow and collaboration platform delivered through our website and cloud infrastructure. We may modify, update, or discontinue features or parts of the Service at any time, with or without notice.

3. User Accounts
Registration: You must create an account to access the Service. All account information must be accurate and kept up to date.
Security: You are responsible for keeping your password and account secure. You are liable for all activity under your account.
Eligibility: Users must be at least 18 years old.

4. Free Trial
Stride offers a 14-day free trial. No charges will apply until the trial period ends.
If you do not cancel before the trial ends, your selected subscription plan will begin automatically, and you authorize us (via Paddle) to charge your payment method.
Trials are offered once per user unless otherwise stated.

5. Subscription, Billing, and Payments
5.1 Subscription Fees
The Service is offered on a subscription basis, with fees billed in advance in USD.

5.2 Automatic Renewal
Subscriptions renew automatically at the end of each billing cycle unless canceled beforehand. You authorize us and Paddle (our Merchant of Record) to automatically bill your payment method for each renewal period.

5.3 Taxes
Taxes (e.g., HST, VAT, GST, sales tax) may be applied depending on your jurisdiction. Paddle calculates and remits applicable taxes.

5.4 Billing Failures
If a payment fails, we may suspend or terminate access to the Service until payment is successfully processed.

5.5 Price Changes
We may change pricing at any time. You will receive at least 30 days’ notice before new prices apply. Continued use after a price change constitutes acceptance.

6. Cancellation, Termination, and Refunds
6.1 Cancellation by You
You may cancel at any time through your account dashboard. Cancellation stops future charges but does not issue refunds.

6.2 Effect of Cancellation
You retain access to the Service until the end of the paid billing period.

6.3 Termination by Us
We may suspend or terminate your account immediately if you violate these Terms or if continued use poses a legal, security, or operational risk.

6.4 Survival
Sections relating to intellectual property, payment obligations, warranties, limitations of liability, indemnification, and dispute resolution survive termination.

6.5 Refund Policy
All subscription fees are non-refundable, including:
• partial months of service,
• periods of unused access,
• downgrades applied mid-cycle,
• unused user seats,
• accounts that remain open but inactive.

Because access to the Service is granted immediately upon payment and resources are provisioned, we do not provide refunds except where required by law.

Billing Errors: If you believe you were billed incorrectly, contact info@stride.work within 14 days of the charge. We will review the matter and, if appropriate, work with Paddle to correct the error.

Refund Discretion: Refunds may be issued only at our sole discretion or where legally mandated. Paddle, as our Merchant of Record, may also issue refunds in accordance with applicable law.

7. Intellectual Property
Service Ownership: All software, technology, design, and content within Stride are owned by RSS or its licensors and are protected by Canadian and international IP laws.
License to You: We grant you a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business use.
Feedback: If you submit ideas, suggestions, or feedback, you grant RSS a perpetual, royalty-free license to use them without restriction.

8. User Data
You retain full ownership of all data, files, and content you submit (“User Data”).
You grant us a license to store, process, and display User Data solely as required to provide the Service.
We may retain User Data unless you request deletion, subject to legal obligations.
You are responsible for maintaining appropriate backups of your data.

9. Prohibited Uses
You may not use the Service:
• to violate any law or regulation;
• to upload harmful, illegal, or infringing content;
• to send spam or unsolicited communications;
• to impersonate another person or entity;
• to reverse engineer or attempt to extract the Service’s source code;
• to interfere with or disrupt the Service or its infrastructure.

10. Third-Party Services
Stride may integrate with third-party services. Your use of such services is governed by their terms. We are not responsible for third-party actions, data handling, or service failures.
Payments and taxation are managed by Paddle, our Merchant of Record.

11. Service Availability and No Warranty
The Service is provided “as is” and “as available.”
We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your expectations.
We may perform maintenance or updates that cause temporary downtime.

12. Limitation of Liability
To the fullest extent permitted by law:
• RSS will not be liable for indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, or goodwill.
• Our total liability for any claim shall not exceed the amount you paid to us in the six months preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory asserted.

13. Indemnification
You agree to indemnify and hold harmless RSS, its officers, employees, contractors, and affiliates from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

14. Data Privacy
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your information. By using Stride, you consent to the practices described in the Privacy Policy.

15. International Data Transfers
Your information may be stored or processed in Canada, the United States, or other jurisdictions. We implement appropriate safeguards when data is transferred internationally.

16. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes shall be resolved exclusively in the courts of Toronto, Ontario.

17. Changes to Terms
We may update these Terms from time to time. If changes are material, we will attempt to provide 30 days’ notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
